Terms of Service (EULA)

• "User" refers to any individual or entity that installs or uses the Software.
• "License Key" refers to the authentication code issued by us to activate the Software.
• "Subscription" refers to the right to use the Software on a monthly or annual basis.

We grant you a non-exclusive, non-transferable, non-sublicensable right to use the Software subject to these Terms.

• Each License Key may be used on one (1) device at a time.
• You may transfer to a different device, but simultaneous use on multiple devices is not permitted.

• Use of the Software requires a subscription fee as listed on the pricing page.
• Payments are processed through Stripe. We do not store your credit card information.
• Subscriptions auto-renew. You may cancel before the renewal date to stop future charges.

We offer a full refund within 7 days of purchase, no questions asked. To request a refund, contact info@marunouchi.co.

After 7 days, refunds are considered on a case-by-case basis only if the Software is completely unusable due to a technical defect.

You must not engage in any of the following actions.

• Reverse engineering, decompiling, or disassembling the Software
• Sharing, reselling, or unauthorized duplication of License Keys
• Using the Software for illegal activities or infringing on the rights of others
• Circumventing or disabling security features of the Software

The Software operates using API keys (Anthropic, OpenAI, etc.) that you provide.

• You are responsible for managing your API keys. We are not liable for damages from unauthorized use of your keys.
• External API usage fees are your responsibility and are not included in our subscription fees.
• API keys are stored locally on your device and are not transmitted to our servers.

All intellectual property rights in the Software belong to us. These Terms do not transfer ownership of the Software to you. Content you create using the Software belongs to you.

• The Software is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not guarantee the accuracy or completeness of AI-generated outputs. Use of such outputs is at your own risk.
• We shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Software.

• We may modify, add, or remove features of the Software with prior notice.
• We may revoke your license if you violate these Terms.
• In the event of service termination, we will issue a pro-rata refund for the remaining subscription period.

We may revise these Terms in response to legal changes or updates to the Service. Material changes will be communicated through the Service or via email. Continued use after such changes constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
